1. Contracting parties and scope of services
This agreement applies to Keenix, a clinic management service provided through user accounts and clinic organisations. Packages, functions, prices and support are specified on the pricing page, in quotations or in order documents agreed in writing between the provider and the clinic.
The service provider is Clinical Technology Co., Ltd., legal entity registration number 0105566065006, at 222/5 Everest The Function Maliwan, Moo 16, Ban Pet, Mueang Khon Kaen, Khon Kaen 40000, Thailand. The Managing Director is Mr Apichat Rueangjirawanon.
2. Application and acceptance
Applicants must provide accurate information and have authority to apply on behalf of the clinic. An applicant acting for a clinic confirms their authority to bind the clinic to this agreement.
Before the organisation account is first used, the system presents the current agreement for an administrator or authorised representative to read and accept on behalf of the clinic. Viewing the document alone is not acceptance. The system records the accepting person, organisation account, document version or number, and acceptance date and time for later verification. Material changes require notice to the clinic and acceptance of the new version by an authorised person before continued use of the affected parts.
3. Accounts and access permissions
The clinic appoints administrators, adds or removes users and assigns permissions by role and branch. Clinics should review access periodically, instruct users to keep login details confidential, and promptly notify Keenix of unauthorised account use.
Users must act within their granted permissions. They must not disclose clinic or patient data to unauthorised people, use the system unlawfully, disrupt it or access data without permission.
4. Data recorded by the clinic
The clinic is the controller of patient, employee and other data it records in Keenix. Keenix processes data under the clinic’s instructions to provide the service. Each party’s duties, external providers, security, rights requests, and data return or deletion are governed by the data processing agreement.
The clinic is responsible for having the rights and lawful bases to import data, providing necessary notices to data subjects, assigning access and checking recorded information for accuracy. Keenix does not determine on the clinic’s behalf whether it is entitled to use that data.
5. Forms, documents and uploaded content
The clinic retains ownership or applicable rights in the data, forms, documents, images and content it or its users add. The clinic authorises Keenix to store, technically copy, display and process this content as necessary to provide the service and administer the system.
The clinic must ensure uploaded content and its use comply with the law and others’ rights, and should avoid uploading information unnecessary for clinic operations. Keenix uses clinic data to provide the instructed services. Under current practice, it does not use patient or employee data for marketing, product development, analysis across clinics or AI training. Any change of purpose requires clear notice of the scope and lawful basis and the necessary agreements before use begins.
6. Service fees and payments
Fees, packages, user and branch counts, service periods and payment schedules follow the selected package and quotation or order confirmation. Current pricing excludes 7% VAT, and monthly packages may have an initial term specified in the offer. The first-90-day cancellation and refund terms below take precedence over any minimum term or commitment in a quotation.
A clinic may cancel and request a refund by notifying Keenix within 90 days of the date its organisation account was first activated. Keenix will refund 100% of the fees the clinic paid to Keenix for that package, with no penalty or cancellation charge. Send refund requests to [email protected] with the organisation name and account details needed to verify the order. Keenix will complete the refund within 120 days of account activation.
Payment is made through Stripe or the channel shown at checkout. Stripe may receive customer or clinic identifiers, package and transaction details, and payment information entered by the user to process payments and manage risk. Stripe’s processing is also governed by its own notices and terms.
7. Service, maintenance and support
Keenix will provide services within the package and order documents, with the following basic service level agreement (SLA): respond to support requests within 24 hours, complete corrective action within 24 hours, and restore service within 24 hours after an outage. The period begins when Keenix receives a report through the designated support channel or detects the outage, as applicable.
Keenix may improve or change the system for security, error correction or service development. Changes materially affecting use will be communicated appropriately and in a timely manner, as required by law.
8. Intellectual property
Rights in the Keenix name, trademarks, software and components belong to the provider or its licensors. Users receive a limited right to use the system for the agreed package and term. They may not reproduce, modify, distribute or attempt to access the source code unless authorised in writing or permitted by law.
9. Suspension or termination of service
Clinics may cancel with a full refund during the first 90 days under Section 6, without a commitment or penalty. After that period, cancellation and renewal follow the offer or order documents accepted by the clinic.
Keenix may limit or temporarily suspend access as necessary to prevent damage or security risks, comply with the law or address a material breach. Where possible, the clinic will be notified and allowed to remedy the issue, subject to legal restrictions and emergencies.
When the service ends, the clinic should export its data within 30 days. Keenix deletes data from the main system within 60 days of termination, and deletes backups according to the backup cycle so they expire no later than 90 days after deletion from the main system, under the data processing agreement.
10. Liability and limitations
Each party is liable in accordance with its duties and applicable law. This agreement does not exclude or remove either party’s liability.
Keenix supports clinic information and operations management. Diagnosis, treatment and decisions concerning patients remain the responsibility of the clinic and relevant professionals.
11. Changes to this agreement
For material changes, Keenix will notify the clinic and request acceptance of the new version by an authorised person before continued use of affected parts, following Section 2.
